How We Work

Four steps — from route diagnosis to the opening bell

Every mandate is run personally by a partner. Clear route, clear timetable, clear scope.

01
Day 0

Tell us the brief (10 min)

Business and listing intent, target timeline, current financial and structural position — same-day answer on whether we can take it on

02
Day 1-3

Free route diagnosis (30 min)

IPO, reverse merger and SPAC laid out on thresholds, timing and cost level, plus our recommended route

03
Week 1-2

Mandate signed, work starts

Scope and fees set; structure build-out, audit remediation, diligence and drafting all start in parallel

04
Throughout

From filing to the bell and beyond

SEC filing and comment responses, roadshow pricing, listing — then 10-K, SOX and follow-ons

Every mandate is run by a partner from a global investment bank — no sub-contracting. CFO and listing-team build-out is included.

Deliverables

What each step actually delivers

The process is not a pitch — it is a sequence of outputs you can hold us to. Every step has a defined deliverable, an owner and a duration, and all of it goes into the scope of work when the mandate is signed.

01 · The brief (10 minutes) → a one-page feasibility call

A direct answer: whether this route works and where it breaks first. We judge on business substance, financial base, cap table and target timetable. No promises — but we will name the parts that do not fit.

02 · Route diagnosis (30 minutes) → route comparison and a recommendation

The deliverable is a side-by-side comparison: listing thresholds, market-range timing, cost scale and team requirements for an IPO, a reverse merger and a SPAC. The diagnosis is free, fully confidential, and does not require a mandate.

03 · Mandate signed (1–2 weeks) → scope of work and a reverse-engineered timetable

Scope, fee, milestones and named owners on both sides, plus the adviser line-up: auditor, US counsel, underwriter and depositary bank. Group structure, audit remediation and due diligence start in parallel rather than in sequence.

04 · Filing to the bell → filings, comment responses and post-listing reporting

An S-1 or F-1, SEC comment responses, roadshow materials and pricing; after listing, 10-K / 20-F reporting, SOX 404 testing and follow-ons. The deliverables here are documents and dates, not assurances.

Timeline

How the 12–18 months are sequenced: a traditional IPO

Market-range timings are 12–18 months for an IPO, 4–8 months for a reverse merger and 6–10 months for a SPAC merger. The spread is wide because the preparation workload differs enormously — not because the filing step itself is slow.

T-18 to T-12 months: structure and audit foundations

Decide the listing entity and the offshore / VIE structure, clean up historical equity and related-party positions; the auditor comes in and the last three fiscal years are adjusted and restated to US GAAP. This phase decides whether you file on time.

T-12 to T-6 months: controls and the filing document

Build a SOX 404 controls framework that leaves auditable evidence; draft the business and financial sections of the prospectus; put the board, independent directors and audit committee in place; settle the fair-value methodology for share-based compensation.

T-6 to T-3 months: filing and comment rounds

File the S-1 or F-1. The SEC's first comment letter typically arrives about 30 days after filing, with later rounds following each response. Every round requires consistent positions and traceable numbers. The number of rounds depends on how complete the first disclosure is.

T-3 to T-0: roadshow and pricing

Bookbuilding, management roadshow, pricing and the listing. Pricing depends on the issuance window and comparable valuations — being well prepared does not guarantee the range you want.

After T+0: ongoing reporting

10-K / 20-F annual reports, 6-K or 8-K disclosure of material events, first-year SOX 404 testing, lock-up arrangements and follow-ons. Listing is not the finish line; staying listed is a separate, continuing workstream.

Bottlenecks

Five things that most often delay a listing

These five recur across China-based issuers. None of them is a filing-stage problem — each is planted well before the filing.

The common thread: all five can be found — and fixed — before T-18. Discovered at filing stage, the cost is the timetable.
FAQ

Five questions clients ask about the process

What do I need for step one?

Ten minutes: your business and listing intent, target timeline, and your current financial and structural position. We first work out whether the route is viable and which one fits, then how to run it.

Is the route diagnosis charged?

No. Thirty minutes, fully confidential. You get IPO, reverse merger and SPAC compared on thresholds, timing and cost level, plus our recommended route.

How long from signing to listing?

It depends on the route: 12-18 months for a traditional IPO, 4-8 months for a reverse merger, 6-10 months for a SPAC merger. These are market-practice ranges; actual timing depends on your financial base, sector and the issuance window.

What if we want to switch routes midway?

You can, but it costs time. Switching routes means rebuilding the structure, re-running the audit and probably missing the window - which is exactly why we insist on a route diagnosis first.

Do you stay after the listing?

Yes. 10-K / 20-F ongoing disclosure, SOX 404 controls, investor relations and follow-ons are all part of our banking lines. We do not hand over the keys and leave.
